Opening a Business in Spain: What You Need to Watch Out For

Spain offers an attractive business environment for foreign investors, especially in regions like Alicante and the Costa Blanca. However, launching a company here without proper guidance can lead to costly mistakes, delays, or even legal non-compliance.

At CC Lawyers in Alicante, we regularly assist international clients who started the process without legal advice—and had to correct errors that could have been avoided. Here are the most common pitfalls and how to steer clear of them.

1. Choosing the Wrong Legal Structure

Not every business model fits the standard Sociedad Limitada (S.L.). Failing to evaluate the right structure can impact your tax exposure, partner liability, and operational flexibility.

Avoid it by: Consulting a local business lawyer before incorporation. We help you assess whether an S.L., S.A., partnership or sole trader setup is right for your goals.

2. Skipping the NIE or CIF Process

Every shareholder and director needs a NIE (Foreigner ID Number), and your company needs a CIF (Tax ID). Delays in these registrations can freeze the entire process.

Avoid it by: Starting your NIE and CIF applications early. With a power of attorney, we can handle this on your behalf—without your physical presence.

3. Not Opening the Corporate Bank Account Correctly

Many banks in Spain have different requirements for foreign clients. Without proper documents or guidance, your account may not be validated, delaying the deposit of share capital.

Avoid it by: Working with a local firm like CC Lawyers, which coordinates directly with banks and ensures all documents (certificates, ID, powers) are accepted.

4. Underestimating the Role of the Notary and Registry

Company creation in Spain must be formalised by a public notary and registered at the Commercial Registry. Errors in the statutes or paperwork will be rejected.

Avoid it by: Letting a legal expert draft and review all documents before the notary appointment. We ensure your company’s Articles of Association meet Spanish requirements.

5. Neglecting Ongoing Tax and Accounting Obligations

Once your company is formed, you’re required to file quarterly and annual tax returns, even if inactive. Fines for late filing can be significant.

Avoid it by: Setting up proper accounting and tax representation from the start. We work with trusted local accountants to keep your business compliant.

Ignoring Licensing or Sector-Specific Permits

Some business activities—like hospitality, real estate, or health services—require additional municipal or professional licences.

Avoid it by: Verifying sector-specific legal requirements early in the process. We advise on local and national regulations relevant to your business plan.

Turn Legal Risk Into Business Confidence

Opening a company in Spain is 100% achievable—as long as you’re legally guided. Our multilingual team in Alicante ensures your setup is smooth, compliant, and future-proof.

Why Choose Alicante for Your Business in Spain?

Alicante and the wider Costa Blanca region offer a strategic location, competitive costs, and growing opportunities in tourism, real estate, and services. For EU and non-EU nationals alike, setting up a company here is not only possible—it’s a practical and accessible process when supported by the right legal team.

At CC Lawyers in Alicante, we guide international entrepreneurs and investors through the entire company incorporation process, ensuring full compliance with Spanish law.

Step-by-Step Guide to Starting a Company in Alicante

1. Choose the Right Legal Structure

Most foreign investors opt for a Sociedad Limitada (S.L.), equivalent to a limited liability company. It offers flexibility, low start-up capital (€3,000), and limits personal liability.

2. Request a Company Name Certificate

We will apply for a certificado negativo de denominación social from the Central Mercantile Registry to ensure the chosen company name is available.

3. Obtain a NIE and Digital Certificate

The NIE (Número de Identificación de Extranjero) is mandatory for all company shareholders and directors. We also help secure your digital certificate for tax and business filings.

4. Open a Corporate Bank Account

A local Spanish bank account is required to deposit the initial share capital and obtain the bank certificate needed for notary procedures.

5. Sign the Deed of Incorporation Before a Notary

The notary public will formalise the creation of your company, including its articles of association and shareholder structure.

6. Obtain the Tax Identification Code (CIF)

We request your provisional and then final corporate tax number (CIF) from the Spanish Tax Agency (Agencia Tributaria).

7. Register the Company with the Commercial Registry

The company is officially born once registered in the Registro Mercantil de Alicante. From here, it can begin operations legally.

8. Register for Tax and Social Security

We assist with tax declarations (IVA, IRPF, IS) and, if applicable, registration with the social security system for staff hiring.

Legal Support Tailored to Foreign Investors

At CC Lawyers, we offer a full incorporation package that includes:

Power of attorney setup, so you don’t have to travel to Spain

Bilingual legal assistance (English, French, Spanish)

Fast and secure documentation handling

Guidance on business licences, rental agreements, and tax compliance

Ongoing legal advice for your business growth

Costa Blanca or Costa del Sol: which region suits your investment goals?

Spain’s Mediterranean coastlines are prime destinations for international property investment. Among the most popular regions are the Costa Blanca (Alicante province) and the Costa del Sol (Málaga province). Both offer excellent climates, beach access, and strong rental demand—but differ in property prices, legal complexity, and investor profile.

If you’re considering a purchase, particularly as a non-resident, it’s important to understand the legal and financial nuances of each area before making a decision.

Market profile and property values

Costa Blanca: Known for its affordability and diversity of options. Towns such as Alicante, Jávea, Torrevieja and Altea offer coastal living at significantly lower prices compared to southern Spain. Suitable for mid-range budgets and long-term growth.

Costa del Sol: Focused on the luxury segment, especially in areas like Marbella, Benahavís, and Estepona. Property prices are higher, and competition for prime assets is stronger. Ideal for high-net-worth investors seeking prestige and liquidity.

Legal aspects and regional variations

While Spanish property law is unified at the national level, regional practices and tax rates can vary:

ITP (Property Transfer Tax) rates differ: Andalusia currently offers reduced rates in some cases, while the Comunidad Valenciana has its own regime, including potential surcharges for luxury or second homes.

Urban development rules are stricter in some municipalities. Understanding the local PGOU (urban planning framework) is critical.

Coastal protection laws (Ley de Costas) apply in both regions but are enforced with varying intensity depending on location and proximity to the shoreline.

In both cases, a local property lawyer is essential to verify land registry data, planning permissions, and possible restrictions.

Rental strategy and infrastructure

Costa Blanca: Strong year-round demand driven by medical tourism, retirees, remote workers, and domestic visitors. High occupancy rates, particularly in Alicante, Benidorm, and Dénia.

Costa del Sol: Offers premium short-term rental potential, especially during peak seasons. Properties with sea views, pools, and proximity to golf or international schools are highly sought after.

Infrastructure differences are also worth noting. The Costa del Sol boasts an international airport (Málaga), luxury marinas, and a mature expat community. Costa Blanca, with Alicante Airport and growing services, is catching up quickly.

Strategic considerations

Choosing between these two regions depends on your profile as an investor:

Looking for value, growth, and manageable legal processes? Costa Blanca may be ideal.

Seeking luxury assets and established high-end tourism? Costa del Sol offers prestige and visibility.

Both options are viable, but local legal support is key to navigating tax structures, planning law, and purchase conditions efficiently and safely.

Purchasing real estate in Spain—particularly in regions like Alicante or the Costa Blanca—can be an attractive opportunity for foreign investors and expatriates. However, Spanish property law involves specific legal procedures, language barriers, and regulatory nuances that differ significantly from other jurisdictions. Missteps can result in financial losses, delayed registrations, or unenforceable contracts.

Hiring an independent, qualified lawyer is not just advisable—it is essential. Your lawyer will act solely in your interest, ensuring the transaction is legally sound, fully compliant, and aligned with your expectations.

The role of a lawyer in the property purchase process

An experienced property lawyer will conduct comprehensive legal due diligence before you commit to any financial transaction. Key responsibilities include:

Verifying legal ownership through the Land Registry (Registro de la Propiedad)

Ensuring the property is free from debts, mortgages, or urban charges

Confirming planning permissions and checking the urban classification of the land

Reviewing or drafting the reservation agreement, private contract, and final deed (escritura)

Calculating the applicable taxes (ITP, IVA, AJD) and advising on future obligations (IBI, community fees, income tax on rentals)

Coordinating with the notary and assisting with registration after signing

Spanish notaries do not represent the buyer—they merely certify the documentation. Only your lawyer can ensure that every clause and condition in your favour is protected.

Added value for foreign clients

For non-residents, buying property in Spain comes with administrative and cultural complexities. A multilingual legal team will:

Guide you through the process in English or French

Act on your behalf under power of attorney

Obtain the NIE (tax ID), open a bank account, and handle tax filings

Manage the payment of deposits, taxes, and fees securely

Advise on inheritance planning, future sale implications, and tax residency issues

With the support of a lawyer familiar with the local market and legal practices in Alicante, your purchase will be not only secure—but seamless.

Purchasing an off-plan property in Spain—especially in high-demand areas like Alicante, Torrevieja, or Jávea—can be financially advantageous. However, this type of investment involves specific legal risks. If you are a foreign buyer, it is essential to understand the applicable regulations and perform a full legal due diligence before signing any document or paying a deposit.

At CC Lawyers, we offer specialised legal assistance to international clients to ensure every step of the process complies with Spanish law and protects your interests.

Legal framework applicable to off-plan purchases

The purchase of off-plan property in Spain is regulated mainly by:

Law 38/1999 on Building Regulation (Ley de Ordenación de la Edificación)

Law 20/2015 on guarantees protecting advance payments

These laws require developers to meet strict obligations, including providing financial guarantees and ensuring the quality and safety of the construction. Nonetheless, it is the buyer’s responsibility to verify compliance through qualified legal counsel.

Key aspects to verify before signing

Building licence and developer’s status

Confirm that the developer is duly registered with the Mercantile Registry and that the construction has a valid building licence (licencia de obra) issued by the local authorities in the municipality of Alicante or surrounding areas.

Bank guarantee (aval bancario) or insurance

Any amounts paid in advance before the property is delivered must be covered by an individual bank guarantee or insurance policy. This guarantee must be issued in your name and must cover the full amount paid, plus interest, in case the property is not completed or the licence is not granted.

Technical specifications and delivery terms

Request and examine the technical specifications (memoria de calidades), expected completion date, and contractual penalties in the event of delays. The developer must also clarify whether the property will be delivered with a first occupancy licence (licencia de primera ocupación).

Purchase agreement and payment structure

Before signing any reservation or private purchase agreement, your lawyer should review all clauses. This includes:

Total price and VAT application (10% IVA)

Payment milestones and deadlines

Penalties for non-compliance

Conditions for refund of deposits

Obligations regarding the final notarial deed

Land Registry information

It is essential to verify the legal status of the plot in the Land Registry (Registro de la Propiedad), ensuring there are no encumbrances or debts that could affect the future registration of your ownership.

Why legal advice is essential for off-plan purchases

Although some buyers rely solely on the developer or real estate agent, independent legal advice is the only way to ensure the transaction is secure. At CC Lawyers, we act exclusively on behalf of the buyer. We can:

Represent you with a power of attorney

Request and review all legal documents

Are you planning to buy property in Torrevieja, Alicante or anywhere on the Costa Blanca? Whether you’re moving to Spain, investing in a holiday home, or retiring under the sun, understanding the legal process is essential. This step-by-step guide will walk you through everything you need to know about buying real estate in Spain as a foreigner, especially in the province of Alicante.

At CC Lawyers, we specialise in helping expats and international buyers navigate the Spanish legal system safely, in English or French.

1. Work With a Local Real Estate Lawyer From Day One

Hiring an independent lawyer is your best guarantee that the transaction will be secure. In Torrevieja and Alicante, some properties are sold with legal or urban planning issues, so it’s crucial to conduct full due diligence. Your lawyer will:

Confirm that the seller is the legal owner of the property.

Check that the property is registered correctly at the Land Registry and Cadastre.

Ensure the home is free of debts such as IBI (property tax), community charges or utility bills.

Verify there are no hidden tenants or occupancy rights.

Review planning permissions if the property has been extended, refurbished, or has a pool.

2. Sign a Reservation Contract (Contrato de Reserva)

Once you’ve found your ideal property, the seller or agent may ask you to sign a reservation contract and pay a deposit (typically between €1,000 and €6,000) to remove it from the market. Before signing anything, your lawyer should review the contract to make sure your interests are protected and you don’t risk losing your money if legal issues arise.

3. Execute a Deposit Agreement (“Contrato de Arras”)

This is a private purchase agreement that sets the terms and conditions of the sale, including the agreed price and the date for completion. It usually requires a 10% deposit. If either party withdraws without justification, they may face financial penalties. For buyers, this means losing the deposit; for sellers, refunding double.

4. Apply for an NIE Number

Foreigners need an NIE (Número de Identificación de Extranjero) before purchasing property in Spain. This number is required for tax purposes and will appear in the final deed. At CC Lawyers, we can handle your NIE application and represent you under a Power of Attorney if needed.

5. Conduct Final Checks and Sign at the Notary

All Spanish property purchases are formalised by signing the public Deed of Sale (Escritura Pública de Compraventa) before a Notary. Your lawyer will check the draft deed beforehand and coordinate the payment of taxes and the registration of the property in your name. On the day of signing, you can attend in person or appoint a legal representative.

6. Make Final Payment and Withhold 3% If Applicable

The balance of the purchase price is usually paid by certified bank cheque or direct transfer. If the seller is not a Spanish resident, you must withhold 3% of the price and pay it to the Spanish Tax Agency (Hacienda) on their behalf, as required by law.

7. Register the Property and Pay Related Taxes

After the Notary appointment, your lawyer will manage the registration of the property with the Land Registry and Cadastre, and ensure all applicable taxes and fees are paid, including:

Property Transfer Tax (ITP): 10% in the Valencian Community for resale properties.

VAT (IVA) + Stamp Duty (AJD): For new builds, 10% VAT + 1.5% AJD apply.

Notary and Registry Fees: Around 0.5%–1% of the property value.

Your lawyer will also obtain a copia simple (certified copy of the deed) for you immediately after signing, while waiting for final registration.

8. Additional Costs to Consider

Apart from the purchase price, you should budget for:

Lawyer’s fees (typically 1% + VAT)

Bank fees for issuing certified cheques

Translator at Notary (if needed)

Utilities changeover and community registration

We provide all-inclusive quotes so you know the full cost of buying property in Alicante or Torrevieja upfront—no surprises.

Your Peace of Mind, Guaranteed

Buying a property in Spain can be a smooth and safe experience when guided by a trusted local law firm. At CC Lawyers Alicante, we have more than 20 years of experience helping expats buy homes on the Costa Blanca with full legal protection.

We speak your language, understand your expectations, and work exclusively for you—not estate agents or developers.

Request your free consultation today and let us guide you step by step.

The province of Alicante, in the heart of Spain’s Costa Blanca, offers everything international buyers are looking for: a relaxed lifestyle, sunshine all year round, a well-connected airport, and a vibrant mix of coastal and inland towns. It’s no surprise that buyers from the UK, France, Belgium, and Germany consistently rank this area among their top choices for relocation, retirement or investment.

However, purchasing property in Spain involves more than choosing the right house or apartment. There are significant additional costs that are often overlooked, especially by first-time buyers or those unfamiliar with Spanish procedures. If you don’t account for these, your property buying budget may fall short, and the experience can become more stressful than expected.

At CC Lawyers Alicante, we specialise in assisting expatriates with legal support in their own language. From the first consultation to post-sale registration, we take care of every legal detail so you can focus on enjoying your new home.

Real estate fees and taxes in the Comunidad Valenciana

Many buyers see an attractive asking price and assume that’s the total cost. In reality, depending on the type of property and how it is financed, the total costs can increase by 12–15% over the listed price. That’s why it’s essential to plan ahead and work with a local legal team that knows the regional tax rates and administrative procedures in Alicante.

Below we detail the main expenses and how they apply specifically to the Comunidad Valenciana.

1. Property Transfer Tax (ITP) – For resale properties

If you are purchasing a second-hand or resale property from a private owner (which is very common in Alicante), you will need to pay the Impuesto de Transmisiones Patrimoniales (ITP). In the Comunidad Valenciana, the standard rate is 10% of the declared purchase price.

There are also reduced rates available in certain circumstances:

8% or 6% for buyers under 35 years old purchasing their first home.

Families with three or more children (classified as “familia numerosa”).

Buyers with a recognised disability.

In purchases of protected properties (VPO), used as the buyer’s main residence.

However, these reductions are not automatically applied. They must be requested with supporting documentation and strict compliance with requirements. At CC Lawyers, we assess your eligibility and handle the entire process, ensuring the correct tax rate is applied from the outset.

2. VAT and Stamp Duty – For new build properties

When you purchase a newly built property directly from a developer or promoter, different taxes apply. In this case, you must pay 10% VAT (IVA) instead of ITP, plus 1.5% Stamp Duty (Actos Jurídicos Documentados – AJD).

These taxes are calculated on the declared purchase price and must be paid before the property can be registered in your name. In some cases, buyers wrongly assume that VAT is already included in the advertised price. That’s why we always recommend reviewing the reservation contract and all clauses relating to taxes and payment terms before signing anything.

Our legal team regularly advises international clients on off-plan purchases or developments, ensuring that the payment schedule is clear and that your rights are fully protected with bank guarantees in place.

3. Notary and Land Registry fees

In Spain, property sales must be formalised in front of a public notary and then registered in the Land Registry (Registro de la Propiedad). These steps are not optional, and their costs are borne by the buyer.

Notary fees generally range from €600 to €1,200, depending on the value and complexity of the transaction.

Land Registry fees usually cost between €400 and €1,000.

These are regulated fees, but the amounts can vary depending on the number of documents, the value declared in the deed, and whether a mortgage is involved.

At CC Lawyers, we review the notarial deed before the signing appointment, attend with or on behalf of the client (via power of attorney), and coordinate with the registry to ensure the ownership change is processed efficiently and with no legal complications.

4. Legal fees: An investment in peace of mind

Some buyers are tempted to proceed without legal representation, relying on the seller’s agent or online advice. However, only an independent lawyer represents your interests, and ensures that the property you are purchasing is legally sound.

Our fees are clearly defined and transparent, and include:

Full due diligence on the property (checking for debts, charges, or planning issues).

Reviewing or drafting the reservation and private purchase contracts.

Applying for the NIE number (foreigner tax identification).

Representation before the notary with a power of attorney, if needed.

Post-sale registration and tax filings.

Coordinating utility changes and local notifications.

We offer fixed-price packages so you know exactly what to expect, with no hidden costs. Our team works in English and French, which eliminates misunderstandings and builds confidence throughout the process.

5. Real estate agent commission

In most transactions, especially when dealing with professional estate agents in Alicante, the commission is paid by the seller. However, there are situations — such as purchases from private owners or direct from developers — where the buyer may be asked to assume all or part of the fee.

Our role is to review the terms of any agreement and ensure that you are not committing to unexpected expenses. We also verify that the agent has provided all the necessary legal documentation before you sign any contract or pay a deposit.

6. Mortgage-related costs (if applicable)

If you are applying for a mortgage with a Spanish bank, there are several additional costs to include in your property buying budget:

Property valuation (tasación): mandatory and costs approximately €300 to €500.

Mortgage arrangement fee: some banks charge up to 1% of the loan amount.

Additional notary and registry fees to record the mortgage in the Land Registry.

Banks often present documents in Spanish only, which can be a source of confusion or stress. At CC Lawyers, we help you understand the full implications of your mortgage offer, check for abusive clauses, and coordinate the signing with the bank’s notary.

7. Other expenses to consider

There are a number of recurring or one-off costs that can affect your long-term budget:

NIE Number (Número de Identificación de Extranjero): required to purchase property in Spain. We can obtain it for you for a standard fee.

IBI (Impuesto sobre Bienes Inmuebles): an annual municipal tax based on the property’s cadastral value. This is not based on the purchase price and varies by municipality.

Community fees: monthly charges for maintenance and shared services, especially in apartments or gated communities. We verify these costs in advance.

Utilities and change of name fees: for water, electricity, gas and rubbish collection.

Our after-sales service includes helping clients with the transfer or registration of all these services in their name.

Why work with a local legal team in Alicante?

Buying property abroad is an important personal and financial decision. It involves navigating a new legal system, language barriers and different cultural practices. That’s why it is essential to rely on a team of local lawyers who understand both Spanish law and the needs of international clients.

At CC Lawyers Alicante, we offer:

Over 20 years of experience assisting foreign buyers.

A multilingual team fluent in English, French and Spanish.

Legal services tailored to your goals: investment, relocation, retirement.

Transparent communication and fixed fees.

We work throughout the Costa Blanca — including Alicante, Torrevieja, Altea, Jávea, Denia, and Benidorm — and have helped hundreds of clients buy safely and with confidence.

Request your consultation and buy in Spain with complete confidence

When investing in Costa Blanca real estate, it’s essential to understand the full range of property taxes and transaction fees involved. Whether you are buying a second home, relocating to Spain, or investing in the property market, knowing the financial implications will help you budget accurately and avoid surprises.

At CC Lawyers Alicante, we guide international buyers step by step through the legal and tax process of acquiring property in Spain, particularly in the province of Alicante and the Costa Blanca area.

Property Taxes in Spain: Key Rates to Know

There are two main tax regimes depending on whether the property is new or a resale.

1. Property Transfer Tax (ITP) – Resale Properties

If you buy a second-hand property, you must pay the Impuesto sobre Transmisiones Patrimoniales (ITP). In the Comunidad Valenciana, this tax is 10% of the purchase price, applicable throughout the Costa Blanca, including Alicante, Torrevieja, Jávea, Altea or Benidorm.

This is one of the most common property taxes in Spain for foreign buyers acquiring existing homes.

2. VAT (IVA) + Stamp Duty (AJD) – New Build Properties

For newly built properties (from developers), instead of ITP, you pay:

10% VAT (IVA)

1.5% Stamp Duty (AJD) in the Valencian region

That’s a total of 11.5% on top of the declared property price. These rates may vary in other parts of Spain, such as Costa Brava real estate, where stamp duty can be slightly lower (around 1%).

Notary and Land Registry Fees

These are mandatory professional fees for executing and recording the Escritura Pública de Compraventa (public deed of sale).

Notary fees: Usually range from 0.3% to 0.6%

Land Registry fees: Similar scale, based on official property value

Your lawyer will calculate these amounts precisely and ensure the documentation complies with Spanish law.

Lawyer’s Fees

Legal support in Spain is essential for safe property transactions. At CC Lawyers, our fees are typically 1% of the purchase price + VAT, and we offer full support in English and French, including:

Due diligence

NIE application

Tax planning

Contract drafting

Representation before notary and authorities

We work solely for you—not the seller or the agent—ensuring full independence and transparency.

Other Costs to Consider

In addition to property taxes in Spain, there are several other costs that buyers should budget for:

Bank charges for issuing certified cheques (if required by notary)

Translator services (mandatory in some notarial offices if you don’t speak Spanish)

Utility setup and community registration

Property valuation (if mortgage is involved)

All these expenses can amount to around 12%–14% of the purchase price, depending on the type of property and region.

Tax Obligations After Purchase

After buying a property in the Costa Blanca, owners are subject to annual taxes, such as:

IBI (Impuesto sobre Bienes Inmuebles): local property tax, based on cadastral value

Rubbish collection tax (basura): set by the local town hall

Non-resident income tax: if you do not live permanently in Spain, you must file an annual tax return, even if you don’t rent out the property

Your lawyer or tax advisor will help you register with the Spanish Tax Office and ensure compliance.

Why Costa Blanca Is Still a Smart Choice

Compared to Costa Brava real estate, Costa Blanca offers more favourable tax rates, lower property prices, and high demand for vacation rentals. Towns like Alicante, Torrevieja, and Altea remain popular among international buyers, especially from the UK, France, Germany, and Scandinavia.

With over 300 days of sunshine a year, excellent infrastructure and healthcare, and a strong resale market, Costa Blanca real estate continues to attract smart investors and second-home buyers.

Get Personalised Legal Advice Before You Buy

At CC Lawyers Alicante, we ensure that your property purchase is legally secure and financially planned. We explain every tax, fee and cost involved before you sign anything—always in your language.

Spain remains one of the top destinations for international buyers, whether you’re investing, retiring, or relocating. But before you buy property in Spain, it’s important to follow the correct legal process. This guide outlines the essential legal steps for buying a property in Alicante and across the Costa Blanca.

At CC Lawyers Alicante, we assist foreign buyers in navigating the Spanish legal system with clarity and confidence.

Step 1: Hire an Independent Real Estate Lawyer

This is the most crucial of all steps to buying property. Your lawyer protects your interests by:

Checking legal ownership

Ensuring no debts or charges are registered

Reviewing urban planning status

Verifying the property is free of tenants

Confirming documentation at the Land Registry and Cadastre

Step 2: Obtain Your NIE (Foreigner’s Identification Number)

This is a legal requirement for any real estate Spain purchase. It is used for tax identification and must be obtained before signing any contracts. We handle this process for our clients.

Step 3: Sign the Reservation Contract

You typically pay €1,000–€6,000 to reserve the property. This document should always be reviewed by your lawyer before signing.

Step 4: Sign the Private Purchase Agreement (Contrato de Arras)

This contract outlines price, terms, and a deposit (usually 10%). If either party pulls out, penalties apply.

Step 5: Notary Signing and Public Deed (Escritura Pública)

All real estate transactions in Spain must be finalised before a notary. Your lawyer ensures the deed is correct and coordinates the payment and signature.

Step 6: Registration and Tax Payment

After the notarial act, your lawyer will register the property in your name and pay the applicable taxes:

ITP: 10% in the Comunidad Valenciana for resale properties

VAT + Stamp Duty: 10% + 1.5% for new builds

Notary & Registry Fees: 0.5% to 1%

Step 7: Ensure Tax Compliance and Local Registration

After purchase, you must file Spanish non-resident tax returns and pay the annual IBI (property tax). We also assist with utility registration and local council notifications.

A donation of a property is the transfer to another person while the owner is alive. The main difference with inheritance is that under the donation, the property passes immediately to the recipient and the recipient does not have to wait to do the inheritance after the donor passes away.

It will depend on the community where the property is located and the kinship between donor and donee. If the donee is under 21 years old, the tax will also be lower. There will also be capital gains tax to pay.

The tax to donate a property from father to son is not high and sometimes compensates the bother of going through the inheritance paperwork.

Sometimes, the donor wants to keep using the property and a very interesting option is to donate the “title” but not the usufruct (or right to use and enjoy the property).

So that the donor keeps the right to use the property for life and the donee will be the owner by title and when the donor passes away, the donee will get the right to use the property automatically.

DONATION TITLE DEED

To update the title deeds and make the donation official, the donor and donee have to do this with a notary public in Spain.

Both donor and donee will need a NIE number (fiscal number for foreigners).

If you have decided to gift a Spanish property to somebody, please contact us and we will help with the donation and even do the transfer on your behalf without having to travel to the Notary in Spain.
